DISCLAIMER: In the case of checking the box “I have read and accept the Contract Conditions”, the Client gives his express consent to comply with the terms of this contract and his agreement with all the clauses contained therein through ELECTRONIC ACCEPTANCE OF THE SAME. By clicking on the payment button, the Client acknowledges that electronic acceptance is equivalent to his or her handwritten signature and confirms his commitment to comply with all the provisions and obligations established in this contract. The electronic acceptance of the contract will be binding and will constitute a legally valid agreement between the Client and TaxOlé (Fiscaledge S.L.).

This contractual document is fully enforceable and legally binding. Its purpose is to comprehensively establish the terms, conditions, operational guidelines, and limitations of liability governing the access and use of the software as a service (SaaS) infrastructure called Taxolé. The absolute ownership of the exploitation and management rights of this technological platform, in its version accessible exclusively through web browsers, unconditionally falls upon the mercantile company Fiscaledge SL. This entity is duly constituted under Spanish law, provided with NIF B22471056, and has its registered office at Calle María de Molina, 39, floor 3, 28006 Madrid, Spain. Support communications should be directed to the email address [email protected]. The legal representative of the company is Abraham Covelo, and the platform operates through the domain taxole.com. Access to the web platform, as well as registration or authentication on it, confers the status of User and implies the full and unreserved acceptance of all clauses contained in this document. If the User acts on behalf of a legal entity, they declare under their exclusive responsibility that they possess sufficient power of representation to bind said entity to these obligations. It is an essential condition for using the service that the natural person operating the system be of legal age or exceed the eighteen years of age established by data protection regulations. Registration by minors who do not meet this requirement is prohibited, reserving the Provider the right to demand accrediting documentation and to cancel the account in case of non-compliance. By creating an account on Taxolé, the User agrees to receive transactional communications necessary for the service, as well as commercial and promotional communications related to updates and industry news. The User may revoke this commercial consent at any time using the links provided in the emails.
Legal Nature of Software as a Service and Exclusion of Professional Advice
The service provided by Fiscaledge SL under the Taxolé brand is limited to the provision of a temporary, non-exclusive, and non-transferable use license. This license allows access to a web software application hosted on remote servers under the SaaS model. The exclusive purpose of this system is to provide entrepreneurs and professionals with a digital tool for the issuance, submission, and storage of electronic invoices and quotes. The User expressly acknowledges that the Provider acts only as a technological facilitator. In no case does the provision of this software constitute tax, accounting, or legal advisory services. All information entered into the platform, the selection of tax rates, the application of withholdings, and accounting categorization are the sole and absolute responsibility of the User. Fiscaledge SL rejects any liability arising from erroneous calculations, formal omissions in invoices, or non-compliance with the public administration motivated by the User’s configuration. Furthermore, the tool is not designed to comply with special regional tax regimes such as TicketBAI or LURTicket, nor with foreign regulations. The User fully assumes the consequences of using the platform if their activity falls under said exceptional territorial regulations.
Strict Compliance with Tax Regulations on Fraud Prevention and Inalterability
The computer architecture of the web platform has been developed to strictly comply with Spanish legislation, notably Law 11/2021 on the prevention of tax fraud, the Crea y Crece Law, and Royal Decree 1007/2023. These regulations require that invoicing systems guarantee the integrity, conservation, accessibility, traceability, and inalterability of records. Fiscaledge SL has the Responsible Declaration required by the Tax Agency, certifying that the software makes double accounting or the hidden alteration of records impossible. The system requires the User to choose between two legal operating modes.
The Verifactu Mode implies the automatic and real-time submission of invoicing records to the Tax Agency.
The Non-Verifactu Mode deactivates automatic submission but subjects each document to a local cryptographic chaining using hash algorithms and electronic signature, ensuring that any alteration leaves an auditable trace. The choice between both modes is an exclusive decision of the User. Fiscaledge SL is exempt from all liability or penalty that may arise from an incorrect choice of the operating mode or from errors in the data submitted to the administration.
Grant of Limited Use License and Safeguard of Intellectual Property
Fiscaledge SL grants the User a personal, temporary, non-exclusive, and non-transferable license to use the web platform, conditional on the payment of corresponding fees. This license does not transfer the ownership of intellectual property rights, industrial property, source code, trade secrets, visual design, or the registered trademark Taxolé, which belong exclusively to Fiscaledge SL. It is strictly prohibited to subject the web platform to processes of reverse engineering, decompilation, data extraction, or creation of derivative works. Any attempt to manipulate the invoicing traceability system or the validation protocols is also prohibited.
The platform incorporates tools to validate the Tax Identification Number by connecting to censuses such as the VIES census. However, it is explicitly warned that this computer validation does not guarantee the material veracity or the legality of the documented commercial transaction. The User retains full ownership over the financial data and client information they enter into the platform. Fiscaledge SL acts only as the data processor, requiring a technical license from the User to process and host said data for the purpose of providing the service and complying with legal invoicing obligations.
Economic Structure, Subscription Modalities, and Billing Policies
Access to the web platform is structured into different subscription levels. There is a free Freemium Plan strictly limited to the issuance of 20 invoices per month. This limit is not cumulative for subsequent months. For greater needs, paid plans are offered (Solo Plan, Team Plan, and Business Plan). The User expressly acknowledges and accepts that all technical details, functional characteristics, operational limits, and exact prices of said subscription plans are detailed and available on the corresponding official website (https://taxole.com/precios). This rates page will be continuously updated as the Provider adds more features, additional modules, or makes changes to applicable prices or offers. The payment for subscriptions is required in advance and renews automatically for identical periods. The User can request plan changes or cancel automatic renewal exclusively from the web application panel. Plan downgrades or cancellations will only take effect at the end of the period already paid for. No returns or refunds of amounts already collected are made under any circumstances. In case of non-payment or card rejection, a grace period of three natural days will be granted. If the debt is not resolved, the system will forcibly downgrade the account to the Freemium Plan, restricting access to advanced features.
Policy of Use Reasonable, Prevention of Abuses and Stability of the Network
To guarantee the operational stability of the web platform for all clients, the use of the service is subject to a strict reasonable use policy. The User agrees not to generate an abusive or irrational load on the servers. The use of computer robots, web scraping techniques, or any technology aimed at extracting massive information from the interface or saturating the system is strictly prohibited. The use of the platform’s email sending tools to send unsolicited commercial communications or spam is also prohibited. Non-compliance with these reasonable use rules will empower the Provider to temporarily limit access or definitively suspend the infringing account without prior notice or right to a refund.
Declarations, Warranties, and Exclusive Responsibility of the Issuing User
The issuing User is solely and exclusively responsible before the Tax Agency and third parties regarding the veracity, legal accuracy, and arithmetic correction of the data included in the generated invoices. It is their obligation to verify that the invoice information, such as the identifier, dates, payment method, tax rates, and withholdings, is correct and legal at the time of the operation. Fiscaledge SL is totally exempt from any sanction or tax contingency derived from errors, omissions, or negligence in the tax configuration by the User. All fines or sanctioning proceedings resulting from an incorrect technical choice between the Verifactu or Non-Verifactu modes, or from a defective submission of data to the administration, will be fully assumed by the User.
Service Level Agreements, Availability Guarantee, and Exceptions
Fiscaledge SL will deploy its best efforts to maintain an annual web platform availability of ninety-nine point nine percent. This calculation excludes planned maintenance windows necessary for system updates or security. If availability falls below this threshold due to failures directly attributable to the Provider, Users on paid plans may request a service credit equivalent to ten percent of their affected monthly fee. This credit will only be applied as a discount on the next recurring invoice and will not be redeemable for cash. Interruptions caused by force majeure events, catastrophes, large-scale denial of service attacks, or failures in the User’s internet providers exempt the Provider from all technical responsibility and will not generate the right to compensation.
Personal Data Processing, Passive Conservation, and Portability
Data management on the web platform is subject to the General Data Protection Regulation and the Anti-Fraud tax regulations. As required by the Verifactu regulation, it is materially and legally impossible to delete accounts or invoicing records once they have been issued and electronically signed. Deleting an invoice would break the integrity of the cryptographic chain required by the Treasury. Therefore, Fiscaledge SL guarantees the passive and secure storage of this data so that the User complies with their legal obligation of minimum conservation for four years. This conservation is maintained even if the User cancels their subscription or switches to the freemium plan. Regarding portability, the User can export their data at any time using the platform tools into standard formats such as XML, PDF, and Excel spreadsheets. The Provider acts as the Data Processor concerning the User’s client data, applying the security measures required by European legislation.
Maximum Limits of Contractual and Non-Contractual Liability
The User expressly accepts that subscription prices are based on the substantial exclusion of operational risk by Fiscaledge SL. To the maximum extent permitted by law, the Provider will not be liable for indirect damages, loss of profit, loss of business opportunity, reputational damage, or loss of data not covered by backup copies resulting from the use or inability to use the web platform. Should a serious negligent breach by the Provider be demonstrated, the total liability and maximum compensation claimable shall be strictly limited to the total net amount paid by the User for subscription fees during the twelve months immediately preceding the event that originated the claim.
Prerogatives for Unilateral Modification and Grounds for Early Termination
This contract remains in effect indefinitely as long as the User keeps their account active and meets their payment obligations. Given the constant evolution of technology and Spanish tax legislation, Fiscaledge SL reserves the right to modify or update these terms, the conditions of the plans, and the commercial rates at any time. Any modification to these terms and conditions will be notified with reasonable advance notice, which will always be at least fifteen (15) calendar days, allowing the User to cancel the renewal before the next billing cycle if they do not agree with the new terms. Continued use of the web system after the changes take effect will constitute tacit acceptance of them. The Provider may terminate this contract and block access to the account immediately if the User engages in persistent non-payment, uses the tool for criminal or tax fraud purposes, harasses support staff, or infringes intellectual property rights.
Applicable Legislation, Integrity of the Agreement, and Submission to Jurisdiction
The interpretation, validity, and compliance of these clauses shall be governed exclusively by the common, commercial, and tax legislation of the Kingdom of Spain. The application of international sales regulations or conflicts of laws is excluded. For the resolution of any dispute, technical discrepancy, or economic claim related to the Taxolé web platform or this contract, both parties expressly waive any other jurisdiction that may correspond to them and irrevocably submit to the exclusive jurisdiction of the courts and tribunals of the city of Madrid, Spain.
